Terms of Service

Effective October 30, 2026

These Terms of Service (the “Terms”) form a binding agreement between you and QIT (“QIT”, “we”, “us” or “our”) and govern your access to and use of the website at qit.energy, the QIT API, the console, serverless GPU and reserved compute products, documentation and any related services (together, the “Services”).

If you use the Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation. If you do not agree to these Terms, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account and API keys, and for keeping your credentials confidential. Notify us immediately at hello@qit.energy if you suspect unauthorised access.

2. The Services

The Services provide access to third-party and QIT-hosted AI models (“Models”) through an API, and to compute capacity for running your own code, containers and model weights. We may add, change or retire Models, features, regions and hardware profiles at any time. Where a change materially reduces functionality you rely on under a paid commitment, we will give reasonable advance notice.

Some Models are provided by third parties and may be subject to additional terms from their providers. By calling such a Model you agree to comply with the applicable provider terms that we make available in the documentation or console.

3. Your content

“Input” means data you submit to the Services, including prompts, images, audio, video, files, model weights and containers. “Output” means content generated by the Services in response to your Input. Input and Output together are “Customer Content”.

  • Ownership. As between you and QIT, you retain all rights in your Input and, to the extent permitted by law and applicable Model terms, we assign to you all of our right, title and interest in Output.
  • Licence to us. You grant QIT a worldwide, non-exclusive, royalty-free licence to host, process, transmit and store Customer Content solely to provide, secure and support the Services and to comply with law.
  • No training. We do not use Customer Content to train or improve any model.
  • Responsibility. You are responsible for your Customer Content and for having all rights, consents and notices needed to submit Input and use Output. Output may not be unique, and similar Output may be generated for other customers.

4. Acceptable use

You must comply with our Acceptable Use Policy and Trust & Safety standards. You may not: (a) resell or sublicense the Services as a standalone API without our written consent; (b) reverse engineer, decompile or attempt to extract model weights or source code except where permitted by law; (c) circumvent rate limits, quotas, billing or security controls; (d) use the Services to build a competing service using our proprietary interfaces; or (e) misrepresent that Output was human-generated where disclosure is required by law.

5. Fees and payment

Fees are set out on the Pricing page, in the console or in an order form. Usage is metered per generation, per token, per character, per request or per second of compute, as specified for each product. You are only charged for successful requests. Prepaid credits, invoicing, taxes and refunds are governed by our Billing & Refund Policy. We may change prices with at least 14 days’ notice; changes do not apply to committed reserved capacity for its current term.

If you fail to pay undisputed amounts when due, we may suspend the Services after giving you notice and a reasonable opportunity to pay.

6. Service levels and support

Availability commitments and service credits are described in our Service Level Agreement. Service credits are your sole and exclusive remedy for unavailability of the Services.

7. Privacy and data protection

Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf, our Data Processing Addendum forms part of these Terms.

8. Confidentiality

Each party will protect the other’s non-public information disclosed under these Terms with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and contractors who need to know it and are bound by similar obligations. These obligations do not apply to information that is public, already known, independently developed or lawfully received from a third party.

9. Intellectual property

QIT and its licensors own all rights in the Services, including software, APIs, documentation, hardware designs, trademarks and the QIT name and logo. Except for the limited right to use the Services under these Terms, no rights are granted to you. If you send us feedback, we may use it without obligation to you.

10. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access immediately if you materially breach these Terms, if your use poses a security risk or may harm others, or if required by law. Where practical, we will notify you and give you a chance to remedy the issue first. On termination, unused promotional credits expire; paid prepaid credits are handled under the Billing & Refund Policy. Sections 3, 5 (for amounts due), 8, 9, 11, 12, 13 and 15 survive termination.

11. Disclaimers

Except as expressly stated in these Terms or the SLA, the Services and all Output are provided “as is” and “as available”. QIT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. AI Output may be inaccurate, incomplete or offensive; you are responsible for reviewing Output before relying on it.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of their possibility. Each party’s total liability arising out of these Terms will not exceed the fees paid or payable by you to QIT in the twelve months before the event giving rise to the claim, or US$100 if greater. These limits do not apply to your payment obligations, a party’s indemnification obligations, or liability that cannot be limited by law.

13. Indemnification

You will defend and indemnify QIT against third-party claims arising from your Customer Content, your use of the Services in breach of these Terms or the Acceptable Use Policy, or your violation of law. QIT will defend and indemnify you against third-party claims alleging that the Services, as provided by QIT, infringe that party’s intellectual property rights, excluding claims arising from Customer Content, third-party Models or combinations not provided by QIT.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the effective date. For material changes we will give at least 14 days’ notice by email or in the console. Continued use after the effective date constitutes acceptance.

15. General

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, and disputes will be resolved exclusively in the state or federal courts located in Delaware, unless mandatory local law provides otherwise. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If any provision is unenforceable, the rest remains in effect. These Terms, together with the policies referenced in them and any order form, are the entire agreement between the parties regarding the Services.
